Discretionary Trust Fees for Delegated Investment Management

Arden Trust has fiduciary responsibility for both administration and delegation and/or oversight of investment management. All fiduciary activities with respect to the trust are performed or directly supervised exclusively by Arden Trust. The following administrative fees (investment management fees will be charged separately by the investment manager) are based on the fair market value of the assets in the trust:

Minimum Annual Fee: $5,000

First $2,000,000: 0.50%

Next $3,000,000: 0.40%

Next $5,000,000: 0.30%

Over $10,000,000: 0.20%

Directed Trust Fees

Arden Trust acts as Administrative Trustee only. The client or authorized party appoints an Investment Advisor to directly manage the assets. The following fees are based on the fair market value of the assets in the trust:

Minimum Annual Fee: $5,000

First $2,000,000: 0.40%

Next $3,000,000: 0.32%

Next $5,000,000: 0.24%

Over $10,000,000: 0.16%

Custody Fee Schedule

Arden Trust will charge fees for services including, but not limited to, the following Custody Services:

Safe Keeping of Assets
Collection & Distribution of Income & Principal as instructed by client
Execution of the Purchase or Sale of Assets as instructed by client
Daily Investment of Cash
Periodic Account Reports

Minimum Annual Custody Fee: $3,000

Market Value of all assets held in the account: 0.40%

Estate and Trust Settlement Fees

Professional services provided as executor, personal representative, or administrator

Minimum Fee: $30,000

• First $1,000,000: 3%

• Next $3,000,000: 2.5%

• Amounts over $4,000,000: 2%

Irrevocable Life Insurance Trusts Fees*

First Policy: $2,500

Each Additional Policy: $500

Annual Fees for Each Variable Life Policy requiring asset allocation: $500

Annual Fee for loan servicing for each policy loan: $250

Annual Fee for Paid up Policy: $500

Distribution fee at termination: 1% of FMV

*Arden Trust only accepts life insurance trusts as part of a larger relationship.

Special Needs Trusts / Guardianships / Conservatorship Fees

Minimum Account: $2,000,000

Minimum Annual Trustee Fee: $15,000

• First $2,000,000: 0.75%

• Next $3,000,000: 0.65%

• Next $5,000,000: 0.55%

• Over $10,000,000: 0.45%

Special Asset Management Fees

Arden Trust offers the expertise of our special asset management department for trust clients. The fees set out below are in addition to the standard trustee fees as a percentage of assets under management, unless otherwise indicated.

Oil and Gas Assets*

Interests

Royalty/Working Interest - 7% gross revenue with a $1,000 annual minimum fee per account
Non-producing interest - $500 annual fee per account
Leasing - 7% of lease bonus with a minimum of $250 per lease
Sales - 7% of sale amount or $1,500 whichever is greater
Processing Fees - $75 per property

*Arden retains a third party as its agent to administer oil and gas interests on its behalf.

Closely Held Assets in Discretionary Trusts

Per Managed Asset Fee:

• Initial Review and Setup: $1,500

• Annual Review and Maintenance: $750

Sale of Closely Held Assets, Based on Sales Price

• First $1,000,000: 5%

• Next $1,000,000: 4%

• Next $1,000,000: 3%

• Next $1,000,000: 2%

• Next $1,000,000: 1%

Closely Held Assets in Directed Trusts*

Setup Fee:

• Setup for First Entity: $1,500

• Setup for Each Additional Entity: $500

Annual Value: Annual Flat Fee**

• Up to $10,000,000: $7,500

• $10,000,001 - $25,000,000: $10,000

• $25,000,001 - $100,000,000: $20,000

• $100,000,001 and up: each incremental $50,000,000: $10,000

*Charged per interest held, not percentage of assets under management
** Sale of Closely Held Assets in Directed Trusts: $10,000 for participation in a purchase and sale agreement. This fee will be adjusted if extraordinary events arise

Mortgage / Note Management / Annuities

Setup Fee:

• Initial Review and Setup: $1,000

• Annual Review and Maintenance: $250

Real Estate Assets

Fees:

• Initial Review and Setup: $750

• Annual Property Administration: $750 per property (annually)

• Property Management Oversight: 1% gross rents supervisor fee (annually)

• Tenant Removal Oversight: $1,500

• Sales: 1% of gross sales price

• Purchases: 2% of gross sales price

Important Notes for all Accounts:

1. Fees are charged monthly in. Arden Trust requires a reserve of 2 years’ of annual fees for illiquid assets at the time the trust is funded and ongoing throughout administration.

2. In addition, Arden Trust will charge transaction fees for the following:
• Checks: $25.00/each
• Wires: $50.00/each
• Portfolio Transaction in Custody Accounts: $20.00/each

3. Accounts requiring a tax return or tax letter will be charged annually on the following schedule:
• 1041 Federal Return: $750.00
• 990/990PF/5227 Federal Return: $1,500
• Tax information sent to outside preparer: $300.00

4.Arden Trust will collect a termination fee equal to one year’s annual fee upon termination of a trust account, any distribution of one-third or more of the trust’s value, or transfer of the trust assets upon its removal or resignation.

5. An annual account maintenance fee of $500 will be charged for each account set-up in a relationship in excess of three.

6. This fee schedule lists fees that are payable solely to Arden Trust. Any fees of co-trustees or Investment Advisors would be in addition to the fees set out in this schedule.

7. Insurance Trusts: Upon the death of the Grantor or last to die of the Grantors, the Arden Trust fee schedule for Discretionary Trust Administration, in effect at that time, will be applied to each continuing separate trust or separate share.

8. When unusual, special, or extraordinary services are provided, an additional fee will be charged in accordance with the efforts provided. Said fee may include compensation based upon the below hourly rates:

Executive Officers	$400.00/hr
Non-executive Officer	$300.00/hr
Non-officer Personnel	$250.00/hr

9. A court accounting may periodically be required pursuant to the governing instrument or applicable law. In addition, upon termination of the trust or upon Arden Trust’s resignation or removal, Arden Trust may elect to settle its account either judicially or nonjudicially. All costs associated therewith (including attorneys’ fees) will be paid from the trust and are not included in the Trustee’s administration or termination fee.

10. Additional administrative expenses may be passed thru to the trust as applicable and appropriate.

11. This schedule is subject to change and may be modified by Arden Trust upon revision of its regularly published schedule of charges. Such revisions will become effective on the 30th day after the mailing of such notice to our customers at the address of record for Arden Trust.
